BOARD AND DIRECTORS' PERFORMANCE REVIEW The key purpose of the Board is to ensure the company's prosperity by collectively directing the company's affairs while meeting the interest of shareholders and stakeholders. As such, there is a need to examine total board performance rather than just individuals. An effective Board must be an active, deciding, independent link in the chain of authority from owners to operators. Accountable Boards are commanders, not advisors. Our methodology has been developed to assess the Board members individually and as a team in fulfilling their roles and responsibilities, the Governance standards and processes established within the Board. As well, the methodology addresses the six principal Board responsibilities in the Malaysian Code of Corporate Governance. Our program has been used by a number of Boards and has been a catalyst for change and improvement. Assertive fulfillment of the Board's authority need not yield weak management.
